Welcome to USIP Accounting (“Company,” “we,” “our,” or “us”).
By accessing our website, purchasing our services, or engaging with our team, you (“Client,” “you,” or “your”) agree to the following Terms of Service. Please read them carefully before using our services.


1. Scope of Services

USIP Accounting provides professional financial and administrative services, including but not limited to:

  • Individual & business tax preparation and filing

  • Bookkeeping & payroll services

  • Company formation (LLC, C-Corp, S-Corp)

  • EIN & ITIN application filing

  • Credit repair services

  • Trademark application filing

  • Tax advisory & business consulting

  • Compliance filings (Statement of Information, 1099, BOI, etc.)

Services are provided based on the information you submit. We are not responsible for errors resulting from incomplete, inaccurate, or late-provided information.


2. Client Responsibilities

The Client agrees to:

  1. Provide accurate, complete, and timely information needed to perform services.

  2. Review all documents prepared by USIP Accounting before signing or filing.

  3. Respond to communication and document requests in a timely manner.

  4. Pay all required service fees, government filing fees, and third-party fees.

  5. Maintain all required accounts (e.g., credit monitoring services for credit repair).

Failure to cooperate may delay or prevent service completion. USIP Accounting is not responsible for penalties or losses caused by client delays or missing information.


3. No Legal, Investment, or Financial Advice

Unless explicitly stated in writing:

  • We do not provide legal advice

  • We do not provide investment advice

  • We do not guarantee tax outcomes, loan approvals, credit score increases, or government decisions

All recommendations are general and informational. Clients should consult an attorney or licensed advisor for legal or investment matters.


4. Fees & Payment Terms

  • Payment is required before services begin unless otherwise agreed.

  • All fees for completed work are non-refundable.

  • Government fees, third-party fees, software fees, and processing fees are always non-refundable.

  • Late or unpaid balances may result in service suspension.

  • Chargebacks or payment disputes without prior communication may result in account termination.

5. Turnaround Time

General turnaround time varies by service type. Rush service may be available for an additional fee.
Turnaround time does not begin until:

  • All required documents are received

  • Payment has been processed

  • Client has provided authorization or questionnaire responses

Delays caused by the client may extend project completion.


6. Accuracy Guarantee

If USIP Accounting makes an error on a tax return that results in IRS/state penalties:

  • We will reimburse the penalty amount (not any tax owed).

  • This applies only if all client-provided documents were accurate and submitted on time.

  • Penalties caused by incomplete or incorrect client information are not covered.


7. Government Processing & Approval

We cannot control decisions made by:

  • IRS

  • U.S. Citizenship & Immigration Services

  • Secretary of State

  • State tax agencies

  • Credit bureaus

  • USPTO or other government bodies

We do not guarantee approval, processing speed, or outcomes for any government filing.


8. Confidentiality & Data Security

USIP Accounting maintains confidentiality of client information in accordance with industry standards.

However:

  • No online system is 100% secure

  • Clients are responsible for protecting login credentials, monitoring their accounts, and communicating securely

We are not liable for damages caused by unauthorized access beyond our control.


9. Limitation of Liability

To the maximum extent permitted by law:

  • USIP Accounting is not liable for indirect, incidental, or consequential damages

  • Our liability is limited to the amount paid by the client for the specific service rendered

  • We are not responsible for losses caused by inaccurate information provided by the client

This includes, but is not limited to:

  • IRS audits

  • Tax balances owed

  • Disallowed deductions

  • Credit score changes

  • Business losses

  • Delayed government approvals


10. No Guarantee of Results

Due to the nature of professional services:

  • Tax refunds are not guaranteed

  • Credit score improvement is not guaranteed

  • Business formation timelines are not guaranteed

  • Government processing times are not guaranteed

We will make best efforts, but outcomes depend on client information and third-party agencies.


11. Service Termination

USIP Accounting reserves the right to refuse or terminate service if:

  • The client is uncooperative, abusive, or threatens staff

  • The client engages in fraudulent activity

  • The client requests illegal or unethical actions

  • The client fails to provide required documents

  • The client disputes payments without contacting us

Any work already performed remains non-refundable.


12. Intellectual Property

All content, templates, reports, emails, and documents generated by USIP Accounting remain our intellectual property.

Clients may not:

  • Reproduce

  • Resell

  • Distribute

  • Use for commercial training

without written authorization.


13. Website Use

Clients agree not to:

  • Misuse our website

  • Attempt to access secure systems without permission

  • Copy or scrape website content

  • Use our site for illegal purposes

Violations may result in termination and legal action.


14. Changes to Terms

USIP Accounting reserves the right to update or modify these Terms of Service at any time.
Continued use of our services indicates acceptance of the revised terms.
